End User License Agreement (EULA)

Effective Date: September 26, 2024

This End User License Agreement ("Agreement") is a legal agreement between you ("End User" or "you") and OpenSesame ("Company," "we," "our," or "us"). By accessing or using the OpenSesame platform, website (www.opensesame.dev), or related services (collectively, the "Services"), you agree to comply with the terms of this Agreement. If you do not agree, you may not access or use the Services.

1. Grant of License

Subject to the terms of this Agreement, OpenSesame grants you a non-exclusive, non-transferable, revocable license to use the Services solely for your internal business purposes. This license is provided on a subscription or usage basis as specified in your agreement with us.

2. Acceptable Use

You agree to use the Services only for lawful purposes and by this Agreement. You will not:

  • Reverse-engineer, disassemble, or attempt to discover the source code or structure of the Services.

  • Modify, adapt, or create derivative works of the Services.

  • Use the Services to infringe on any third party's intellectual property or violate applicable laws.

  • Exploit the Services for unauthorized commercial purposes.

3. Access to Tools

The Services may integrate with third-party tools and APIs. You grant OpenSesame permission to access and use these tools only as explicitly authorized by you. We:

  • Notify you about the tools being used within the Services.

  • Do not store your API keys unless explicitly required and authorized by you.

  • Provide some tools at our expense for your use, ensuring transparency about their availability and purpose.

4. Ownership

OpenSesame retains all intellectual property rights in the Services, including any modifications, enhancements, or derivative works. This Agreement does not grant you ownership of the Services, but only a limited license to use them in accordance with the terms herein.

5. Privacy and Data Usage

Your use of the Services is also governed by our Privacy Policy. By using the Services, you consent to our collection, use, and sharing of your data as outlined in the Privacy Policy.

  • OpenSesame will not retain sensitive data such as your API keys unless explicitly authorized.

  • Any data processed through the Services is handled in accordance with applicable data protection laws.

6. Refund Policy

Due to the nature of digital products, refunds are not generally provided after purchase or access unless specified in the refund terms outlined in the Privacy Policy. OpenSesame reserves the right to issue refunds at its sole discretion under exceptional circumstances.

7. Disclaimer of Warranties

The Services are provided "as is" and "as available." OpenSesame disclaims all warranties, express or implied, including but not limited to the implied warranties of merchantability, fitness for a particular purpose, and non-infringement. OpenSesame does not guarantee:

  • The accuracy, reliability, or availability of the Services.

  • That the Services will meet your specific requirements or operate without interruption.

8. Limitation of Liability

To the extent permitted by law, OpenSesame shall not be liable for:

  • Any indirect, incidental, consequential, or punitive damages.

  • Any loss of revenue, data, or profits arising from your use of the Services.

  • The aggregate liability for all claims related to the Services exceeds the fees paid by you to OpenSesame in the preceding 12 months.

9. Termination

This Agreement is effective until terminated by either party. OpenSesame may terminate this Agreement and your access to the Services immediately if you breach any term of this Agreement. Upon termination:

  • All licenses granted to you under this Agreement will cease.

  • You must cease using the Services and delete any related materials in your possession.

10. Governing Law

This Agreement is governed by the laws of Ontario, Canada. Any disputes arising from or related to this Agreement shall be resolved exclusively in the courts of Ontario.

11. Modifications to the Agreement

OpenSesame reserves the right to modify this Agreement at any time. Notice of material changes will be provided through the Services or by email. Continued use of the Services after changes constitute acceptance of the revised Agreement.
